We have advised clients in structuring and documenting FDI, setting up JV documents along with advising on different corporate, IP, and tax issues arising from JVs, and in the formation, regulation, and duties of funds in Nepal (including private equity funds and mutual funds).

The experience of our advocates as fund supervisors and independent directors allows us to provide pragmatic and specialist advice. Additionally, we have a deep understanding of the FDI landscape given our role as advisers to the Department of Industry when drafting the prevalent Foreign Investment and Technology Transfer Act 2075 (2019 AD).

  • In one of the major FDI deals in Nepal, we advised the Nick Simons Institute on transferring funds into Nepal through FDI on a recurring basis to finance its philanthropic healthcare goals in Nepal.
  • We advised a leading beverages company on the corporate, commercial, intellectual property and taxation issues of entering into a joint venture agreement with a renowned international distributor.
  • We advised a leading construction firm on the corporate, commercial, intellectual property and tax aspects of entering into a joint venture agreement with another construction company to build an assigned project and bid for another lucrative project.
  • We advised a top international conglomerate on utilising the FDI route to finance its subsidiary and firmly further business in Nepal.
  • We advised an international construction materials company on funding its Nepalese subsidiary through FDI.
  • We advised a top telecommunications company on establishing a long-term contractual method to transfer funds into Nepal through FDI for market expansion and acquisitions. This deal was the first-of-its-kind.
  • We advised a leading food and beverages firm on financing its Nepalese operations through FDI.
